Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the prochista.ca website (the "Site") and the products and services made available through it (collectively, the "Services") by Prochista Smart Technologies Corp. ("Prochista," "we," "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Use of the Site

Prochista grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for lawful purposes consistent with these Terms. You may not:

• Copy, modify, distribute, sell, or lease any part of the Site
• Attempt to reverse-engineer or decompile any software or component of the Site
• Use the Site to harass, abuse, defame, or harm any person or to send unsolicited communications
• Use any automated means (bots, scrapers, crawlers) to access the Site except for search-engine indexing performed in accordance with our robots.txt directives
• Interfere with or disrupt the operation of the Site, including by introducing malware or by overloading our infrastructure
• Use the chatbot or other interactive features to attempt to extract sensitive information, bypass safety controls, or impersonate Prochista

Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, audio, video, software, and the design and structure of the Site, is owned by Prochista or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. "Prochista," "ProDCIM," and related marks are trademarks of Prochista Smart Technologies Corp. Nothing in these Terms grants you any right to use these marks without our prior written permission.

Submissions and Feedback

If you submit suggestions, ideas, feedback, or other communications about the Services, you grant Prochista a perpetual, worldwide, royalty-free, irrevocable, sublicensable licence to use, reproduce, modify, and incorporate them into our products and services without any obligation to you.

Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Prochista. We are not responsible for the content, privacy practices, or availability of any third-party site. Your interactions with third parties are solely between you and them.

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, Prochista disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the fullest extent permitted by law, Prochista and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Site or Services.

Our total aggregate liability arising from or related to these Terms or your use of the Site will not exceed the greater of (a) one hundred Canadian dollars (CAD $100) or (b) the amounts you paid to Prochista in the twelve months immediately preceding the claim.

Indemnification

You agree to indemnify and hold harmless Prochista from any claim, liability, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and Prochista agree that any dispute will be resolved in the courts located in Ottawa, Ontario, and you irrevocably submit to the exclusive jurisdiction of those courts.

Modifications

We may revise these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after we post changes constitutes your acceptance of the revised Terms. If we make material changes, we will provide reasonable notice (e.g., a banner on the Site or an email to registered users).

Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms, together with the Privacy Policy and any other written agreement between you and Prochista, constitute the entire agreement between you and Prochista regarding the Site and Services.
